Identity of the Service Provider

These Terms & Conditions (the "Terms") govern the provision of concierge and lifestyle facilitation services under the brand Instacoins Concierge & Lifestyle.

The services are provided by Instacoins Ltd ("Instacoins"), a company registered in Malta with company registration number C 86830 and registered address: 18 Arringo Tower, Triq Vincenzo Bugeja, Floriana, FRN 1553, Malta.

Instacoins Concierge & Lifestyle is a service line and trade name of Instacoins Ltd and does not constitute a separate legal entity.

Nothing in these Terms shall be deemed to create a partnership, joint venture, agency, or employment relationship between you and Instacoins. You acknowledge that you have no authority to bind Instacoins or to incur any liability on its behalf.

Scope and Nature of the Services

Instacoins Concierge & Lifestyle provides non-regulated concierge and lifestyle facilitation services, including assistance with requests, arrangements, and introductions to independent third-party service providers such as travel, hospitality, events, lifestyle, and related services (the "Suppliers").

Instacoins Ltd acts solely as a facilitator and, unless expressly agreed in writing:

  • does not provide the third-party services itself;
  • does not act as an agent, broker, or representative of any Supplier;
  • has no authority to bind any Supplier; and
  • does not guarantee the availability, quality, performance, or outcome of any third-party service.

Any contract for third-party services is entered into directly between you and the relevant Supplier, under the Supplier's own terms and conditions.

Eligibility and Capacity

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Services.

By requesting or using the Services, you confirm that you meet these requirements and that you are acting in your personal capacity or with proper authority if acting on behalf of another person.

Formation of the Contract

A binding contract between you and Instacoins Ltd is formed when you submit a service request and Instacoins confirms acceptance of that request, whether expressly or by commencing performance.

Instacoins reserves the right to decline or refuse any request at its discretion, including where:

  • the request is unlawful, unethical, or impracticable;
  • required information is incomplete or inaccurate;
  • compliance or reputational risks arise; or
  • the request involves any activity deemed, at Instacoins' sole discretion, to be sexually explicit, defamatory, or otherwise incompatible with the brand's professional standards.

Client Obligations

You agree to:

  • provide accurate, complete, and up-to-date information necessary to fulfil your requests;
  • promptly respond to communications reasonably required for service delivery;
  • independently review and accept the terms of any Supplier you engage with;
  • comply with all applicable laws and regulations; and
  • pay all applicable fees and charges in accordance with these Terms.

You are solely responsible for ensuring you possess valid travel documentation, including passports, visas, and health certificates, and for maintaining adequate travel and medical insurance for all services arranged through the Suppliers.

Instacoins shall not be responsible for delays or failures resulting from inaccurate or incomplete information provided by you.

Communication and Instructions

To ensure accuracy and quality of service, all formal requests and amendments to instructions must be submitted in writing via the registered email address or official communication channels provided by Instacoins.

Instacoins shall be entitled to rely on any instructions received from your registered account or email address and is not required to verify the identity of the person providing such instructions, provided they appear to originate from you.

You acknowledge that electronic communications are not 100% secure. Instacoins shall not be liable for any loss or damage resulting from intercepted, delayed, or corrupted electronic messages.

Fees, Payments, and Charges

Any fees payable to Instacoins for the Services will be communicated in advance and agreed prior to confirmation.

Instacoins may require advance payment before performing services. Fees charged by third-party Suppliers are your sole responsibility, unless expressly agreed otherwise in writing.

All payments are non-refundable once the relevant service has been performed, unless otherwise required by mandatory law.

Any sums remaining unpaid after the due date shall bear interest at the maximum rate permitted under the Late Payment in Commercial Transactions Regulations.

Third-Party Services and Suppliers

Instacoins is not responsible or liable for acts or omissions of any Supplier; the quality, safety, legality, or suitability of third-party services; or delays, cancellations, changes, or failures attributable to Suppliers.

Any dispute relating to a third-party service must be resolved directly between you and the relevant Supplier.

Consumer Rights

Nothing in these Terms affects or limits mandatory consumer rights under applicable EU or national consumer protection laws. Where you are a consumer within the EU/EEA, you retain all rights that cannot be excluded or restricted by contract.

Limitation of Liability

To the maximum extent permitted by applicable law, Instacoins shall not be liable for indirect, incidental, special, or consequential losses; loss of enjoyment, opportunity, or expectation; or losses arising from third-party services.

Instacoins' total liability in connection with the Services shall, in all cases, be limited to the fees paid by you to Instacoins for the specific service giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud or wilful misconduct; gross negligence; death or personal injury caused by negligence; or any liability which cannot be excluded under applicable law.

Indemnity

To the extent permitted by law, you agree to indemnify Instacoins against claims arising from your breach of these Terms; your misuse of the Services; or your dealings with third-party Suppliers.

This clause does not apply where prohibited by mandatory consumer law.

Suspension and Termination

Instacoins may suspend or terminate the provision of Services immediately where these Terms are breached; payment obligations are not met; the Services are misused or abused; legal, regulatory, or reputational risks arise; or you or any person associated with your request displays abusive, threatening, or harassing behaviour toward Instacoins Ltd staff or its Suppliers.

Termination does not affect accrued rights or obligations.

Force Majeure

Instacoins shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, strikes, pandemics, utility or telecommunications failures, cyber-attacks, or widespread supplier insolvency.

Compliance and Anti-Money Laundering

Instacoins is committed to preventing financial crime. We reserve the right to request identity verification (KYC) and information regarding the source of funds for any transaction or membership application.

We may refuse to fulfil a request or may terminate your account immediately if we have reason to suspect fraudulent activity, money laundering, or if you fail to provide requested compliance documentation.

Survival

Any provision of these Terms which by its nature is intended to survive termination, including but not limited to Limitation of Liability, Indemnity, Intellectual Property, and Governing Law, shall remain in full force and effect following the cessation of the Services.

Data Protection, Privacy and Sensitive Information

Personal data is processed in accordance with the Instacoins Concierge & Lifestyle Privacy Policy, which forms an integral part of these Terms.

Both parties agree to keep confidential any non-public information received from the other party that is designated as confidential or which a reasonable person would understand to be confidential. This obligation of confidentiality shall survive the termination of these Terms but shall not apply to information required to be disclosed by law, regulation, or a competent court.

By using the Services, you consent to Instacoins processing your personal data, including lifestyle preferences, for the purpose of providing tailored recommendations.

We may share necessary personal data with third-party Suppliers to facilitate your bookings. All such processing is conducted in accordance with the Malta Data Protection Act and the EU General Data Protection Regulation (GDPR).

Digital Instructions and Authentication

Instacoins is entitled to rely on any instructions received via email, SMS, instant messaging (such as WhatsApp or Telegram), or any other digital platform previously used or designated by you.

You are solely responsible for the security of your communication devices and accounts. Instacoins shall not be liable for any unauthorised requests made through your accounts unless you have notified us of a security breach in writing prior to the request being fulfilled.

Governing Law, Jurisdiction and Dispute Resolution

These Terms are governed by the laws of Malta. If you are a consumer within the EU/EEA, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence.

Disputes shall be subject to the jurisdiction of the competent courts in accordance with applicable EU rules on jurisdiction and consumer protection.

In the event of a dispute, the parties agree to first attempt to resolve the matter through informal good-faith negotiations. If negotiations fail within thirty (30) days, the dispute shall be referred to and finally resolved by arbitration in Malta, or through any alternative dispute resolution mechanism mandated by applicable consumer law.

Intellectual Property

All intellectual property rights in any materials, itineraries, research, or content provided to you as part of the Services remain the property of Instacoins or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to use such materials solely for your personal, non-commercial use in connection with the specific request fulfilled.

You may not reproduce, distribute, or commercially exploit any content provided by Instacoins without express written consent.

High-Risk Activities and Assumption of Risk

You acknowledge that certain services or activities requested, including but not limited to extreme sports, private aviation, or deep-sea excursions, carry inherent risks of injury, illness, or death.

By requesting such services, you and your guests expressly assume all risks associated with these activities. Instacoins shall not be liable for any injury, loss, or damage arising from your participation in activities provided by third-party Suppliers.

You warrant that you are in sufficient health and physical condition to participate in the activities you request.

Cancellations and No-Shows

All bookings made through Instacoins are subject to the specific cancellation and no-show policies of the relevant Supplier.

In the event of a cancellation or no-show, you shall be liable for any fees, penalties, or non-refundable deposits charged by the Supplier.

Instacoins reserves the right to charge a reasonable administrative fee for time spent managing cancellations or re-bookings on your behalf, which shall be communicated to you at the time of the request.

Indemnification

You agree to indemnify, defend, and hold harmless Instacoins Ltd, its directors, and employees from and against any third-party claims, liabilities, damages, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your gross negligence, or any unlawful request made by you.

Service Standard and Limitations

Instacoins provides its services on a best-efforts basis. While we strive to fulfil every request to the highest standard, we do not guarantee the availability of any third-party service or the successful outcome of any specific request.

Time-sensitive requests are subject to Supplier response times and availability. Instacoins shall not be liable for any failure to fulfil a request due to circumstances beyond its control or Supplier refusal.

Amendments

Instacoins may update these Terms from time to time. Material changes will apply only prospectively. Continued use of the Services constitutes acceptance of the updated Terms.
